Introduction
This Software License Agreement ("Agreement") is a legal agreement between you, whether an individual, business, or organization ("You," "Your," or "Licensee"), and Anthony Camerano, doing business as Talmyric ("Talmyric," "We," "Our," or "Us").
This Agreement governs the licensing, installation, and use of software, add-ons, plugins, extensions, and related products developed or distributed by Talmyric (collectively referred to as the "Software").
By purchasing, downloading, installing, or using the Software, You acknowledge that You have read, understood, and agree to the terms of this Agreement.
If You are entering into this Agreement on behalf of an organization, You represent that You have the authority to bind that organization to these terms.
If You do not agree to these terms, You must not install or use the Software.
Talmyric reserves the right to modify this Agreement. Any changes will be published on Our official website and will apply prospectively, subject to applicable law. Material changes to existing licensing rights require any notice or consent required by law.
Grant and Scope of License
Subject to the terms of this Agreement, Talmyric grants You a limited, non-exclusive, worldwide license to install and use the Software.
Unless otherwise specified in the product description, each license permits:
- One active production installation of the Software.
- One additional private development or testing installation.
- Reasonable backup copies for disaster recovery or maintenance.
- Temporary duplication during legitimate website or server migrations.
Each production installation requires its own valid license.
A production installation is defined as a website, forum, or application accessible to its intended users.
The additional development or testing installation must be restricted to authorized administrators, developers, or staff and must not operate as a second production website.
If required by Talmyric, You must register the website URL associated with Your license and maintain accurate license information.
Attempts to circumvent licensing restrictions or operate unauthorized installations are prohibited.
Software Licensing Models
Talmyric offers Software under several licensing models. The applicable model will be identified on the product's listing at the time of purchase or download.
2.1 Free Software
Certain Talmyric products are available free of charge.
Free Software may be downloaded and used without payment, subject to this Agreement and any additional terms identified on the product page.
Updates and technical support for Free Software may be provided at Talmyric's discretion.
Unless expressly permitted, Free Software may not be redistributed, resold, repackaged, or claimed as another developer's work.
Talmyric may discontinue Free Software or introduce additional paid features or editions without revoking previously granted licenses for versions already obtained.
2.2 Paid Software – One-Time Purchase
Certain Talmyric products may be offered for a single purchase fee without recurring renewal requirements.
Upon purchase, You receive a perpetual license to use the purchased Software, subject to compliance with this Agreement.
Updates and technical support will be provided according to the terms advertised for that particular product.
If a product includes lifetime updates, those updates remain available for the supported lifetime of the product. Lifetime updates do not guarantee development or maintenance indefinitely.
2.3 Paid Software – Optional Annual Renewals
Certain Talmyric products may include twelve (12) months of software updates and technical support with the initial purchase.
The coverage period begins on the original purchase date.
After twelve (12) months, You may optionally renew access to updates and technical support for an additional coverage period.
Renewal is not required to continue using the Software.
If You choose not to renew:
- Your purchased Software license remains valid.
- You may continue using the last Software version obtained during Your active update period.
- The Software will not be disabled solely because update or support coverage expires.
- Access to newer Software versions and technical support may end until You renew.
- You are not required to repurchase the original Software license to continue using it.
Renewals extend access to updates and support; they do not extend the underlying perpetual right to use the Software.
Unless expressly disclosed and agreed to at purchase, renewals are not automatic.
2.4 Separate Product Licenses
Each Talmyric Software product is licensed independently unless expressly offered as part of a bundle.
Purchasing one Talmyric add-on does not automatically grant access to other paid Talmyric products.
Products may operate independently or integrate with other Talmyric Software. The availability of optional integrations does not automatically grant licenses to products required for those integrations.
Ownership and Intellectual Property
The Software is licensed, not sold.
Talmyric retains all ownership rights, copyrights, trademarks, and other intellectual property rights in its original Software, documentation, designs, branding, and related materials.
Purchasing a license grants permission to use the Software under this Agreement but does not transfer ownership of its intellectual property.
You may modify the Software for Your own authorized installation, provided such modifications comply with this Agreement and applicable third-party licenses.
Modifying the Software does not grant ownership of Talmyric's original source code.
You must preserve existing copyright notices, proprietary notices, and license references contained in the Software unless Talmyric authorizes their removal in writing.
Any third-party components remain subject to their respective licenses.
Restrictions
Unless expressly authorized in writing by Talmyric or permitted by applicable law, You may not:
- Redistribute, share, publish, or upload the Software to unauthorized third parties.
- Sell, rent, lease, sublicense, or commercially redistribute the Software.
- Transfer or assign a license without Talmyric's written authorization.
- Distribute modified versions containing proprietary Talmyric code.
- Remove or alter Talmyric copyright or proprietary notices.
- Share customer download packages or license credentials with unauthorized parties.
- Circumvent license activation, validation, or installation restrictions.
- Claim ownership or authorship of the original Talmyric Software.
- Use one license for multiple production installations beyond those expressly authorized.
You may allow employees, contractors, or developers access to the Software for maintaining Your authorized installation.
You remain responsible for their compliance with this Agreement.
Nothing in this section restricts rights granted by applicable open-source licenses or rights that cannot legally be limited.
Customer Responsibilities
You are responsible for operating and maintaining any website or application using the Software.
This includes:
- Maintaining appropriate website backups.
- Keeping Your server and supported platform reasonably secure.
- Configuring permissions and privacy settings.
- Complying with applicable laws and regulations.
- Managing content uploaded or published by Your users.
- Testing updates before deploying them to a production environment.
Talmyric is not responsible for content created, uploaded, or distributed by You or Your website users.
You agree not to knowingly use the Software for unlawful purposes or to infringe the rights of third parties.
License Duration and Termination
6.1 Perpetual Licenses
Paid Software licenses granted under this Agreement are perpetual unless a product expressly states a different licensing model before purchase.
A perpetual license remains valid without periodic renewal, provided You comply with this Agreement.
Expiration of update or support coverage does not terminate the underlying Software license.
6.2 Voluntary Termination
You may terminate Your license at any time by uninstalling the Software and deleting all copies under Your control, except records You are legally required to retain.
6.3 Termination for Violations
Talmyric may suspend or terminate a license where there is a material violation of this Agreement, including unauthorized redistribution, fraudulent purchasing activity, or intentional circumvention of licensing restrictions.
Where reasonably practical, Talmyric will provide notice and an opportunity to remedy the violation.
Immediate suspension may occur when necessary to prevent fraud, unauthorized distribution, or significant harm.
Upon termination, You must discontinue use of the affected Software and delete unauthorized copies.
Failure to renew optional updates or technical support is not a violation of this Agreement and is not grounds for terminating a perpetual license.
Customer Accounts and License Information
You agree to provide accurate and reasonably current contact information when purchasing or registering Talmyric Software.
You are responsible for maintaining the confidentiality of Your customer account credentials.
You must not knowingly share account access or download credentials with unauthorized parties.
Customer account access, downloads, licensing information, and support eligibility may be managed through Talmyric's official website.
Failure to maintain accurate account information may affect Your ability to receive updates, customer notifications, or technical support.
Talmyric will handle personal information according to its published Privacy Policy and applicable law.
Software Updates and Technical Support
8.1 Included Support
Software updates and support are provided according to the licensing model identified in the product description.
For products with annual update and support coverage, the initial purchase includes twelve (12) months of access unless otherwise stated.
8.2 Scope of Support
Support may include:
- Installation and configuration assistance.
- Investigation of reproducible Software defects.
- Bug fixes and maintenance updates.
- Compatibility assistance for officially supported platform versions.
- Guidance concerning documented Software features.
Support does not ordinarily include custom development, website administration, third-party software modification, or troubleshooting unrelated server problems.
Talmyric will make reasonable efforts to investigate and resolve reported Software issues but does not guarantee individual resolution times or that every issue can be corrected.
Some problems may be resolved through future Software updates.
8.3 Renewals
Customers may renew eligible update and technical support coverage at the renewal price offered at the time of renewal.
Renewals are optional.
Customers who do not renew may continue using their previously obtained Software versions without interruption solely due to coverage expiration.
Upon renewal, access to eligible updates and technical support will resume according to the renewal terms.
8.4 Compatibility
Talmyric develops Software for specified versions of supported platforms, including XenForo and RaxBoard.
Each product's listing will identify its supported platform versions and requirements.
Compatibility with future platform releases, third-party extensions, custom styles, or modified installations is not guaranteed unless expressly stated.
8.5 Discontinued Products
Talmyric may discontinue Software development, updates, or technical support.
Discontinuation does not automatically revoke an existing perpetual license.
Where reasonably practical, Talmyric may notify customers of a product's discontinuation.
Optional Extensions, Editions, and Bundles
Talmyric may offer optional extensions, additional modules, feature upgrades, Standard editions, Pro editions, or bundled products.
These products may have additional requirements or licensing conditions disclosed before purchase.
An extension that depends on another Talmyric product may only be used with a valid license for the required parent product.
Purchasing an extension does not authorize additional production installations beyond the applicable license limits.
A refund, cancellation, or termination of a required parent product may affect the ability or right to use dependent extensions.
Bundle licenses and associated products may not be separated or transferred independently unless Talmyric authorizes such action.
License Transfers
Talmyric Software licenses may not be transferred, sold, assigned, or given to another individual or organization without prior written consent.
Requests for license transfers must be submitted through an official Talmyric support channel.
Talmyric may require proof of purchase, account verification, and confirmation that the original license holder has discontinued use of the Software.
If a transfer is approved, the original license holder must remove the Software from their installations and cease using the transferred license.
Any applicable administrative requirements will be disclosed before a transfer is completed.
Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Software is provided "AS IS" and "AS AVAILABLE."
Talmyric makes no guarantee that the Software will be entirely free from bugs, errors, interruptions, or compatibility problems.
Talmyric does not warrant that the Software will meet every individual requirement or operate with every server configuration, custom modification, or third-party product.
You are responsible for reviewing product descriptions, compatibility requirements, and available documentation before purchasing.
You are also responsible for maintaining backups and testing Software updates appropriately.
To the maximum extent permitted by law, Talmyric disclaims implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
Nothing in this Agreement excludes warranties or consumer rights that cannot lawfully be excluded.
Limitation of Liability
To the maximum extent permitted by applicable law, Talmyric shall not be liable for indirect, incidental, special, consequential, or punitive damages arising from the use or inability to use the Software.
These damages may include lost profits, loss of revenue, business interruption, website downtime, lost data, or loss of goodwill.
To the maximum extent permitted by law, Talmyric's total aggregate liability arising from a particular Software license shall not exceed the amount paid by You to Talmyric for that license during the twelve (12) months preceding the event giving rise to the claim.
For Free Software, liability will be limited to the extent permitted by applicable law.
Nothing in this Agreement limits or excludes liability for fraud, intentional misconduct, or any other liability that cannot legally be excluded or limited.
Indemnification
To the extent permitted by applicable law, You agree to indemnify and hold harmless Talmyric and its owners, employees, agents, and authorized representatives from third-party claims, damages, liabilities, and reasonable legal expenses arising from:
- Your unlawful use of the Software.
- Content published or distributed through Your installation.
- Your material violation of this Agreement.
- Your infringement of third-party intellectual property rights.
- Your failure to comply with applicable privacy or data protection laws.
This obligation does not apply to the extent a claim results from Talmyric's own negligence, unlawful conduct, or breach of this Agreement.
Refund Policy
Talmyric distributes digital Software products that may be made available for immediate download following purchase.
Refund requests will be reviewed according to applicable consumer protection laws and the refund terms disclosed at the time of purchase.
Refunds may be considered in circumstances including:
- A significant reproducible Software defect that Talmyric cannot reasonably correct.
- The Software materially failing to match its advertised description.
- Duplicate payments or billing errors.
- Other circumstances where a refund is required by law.
Refunds requested solely because of a change of mind, failure to review published requirements, or incompatibility with unsupported configurations may be declined where permitted by law.
Downloading the Software does not eliminate any statutory refund or cancellation rights.
If a refund is issued, the affected Software license may be revoked. You must discontinue use and remove installed copies of the refunded product.
Talmyric may offer partial refunds where appropriate and permitted by law.
Modifications and Custom Development
You may modify licensed Software for Your own authorized use.
Talmyric is not obligated to support modified Software or correct problems introduced by unauthorized modifications.
Custom development or commissioned modifications may be subject to separate written agreements.
Unless expressly agreed otherwise, Talmyric retains ownership of its pre-existing code, development tools, and reusable components.
Third-Party Software and Dependencies
Certain Talmyric products may require third-party platforms, libraries, services, or applications.
You are responsible for obtaining any required third-party licenses and ensuring that Your environment meets the Software's published requirements.
Talmyric is an independent software developer and is not affiliated with or endorsed by XenForo, RaxBoard, or any other third-party software provider unless expressly stated.
Third-party and open-source components remain subject to their applicable licensing terms.
Changes to This Agreement
Talmyric may update this Agreement to reflect changes in products, services, legal requirements, or business operations.
Updated versions will be published through the official Talmyric website.
Changes will apply prospectively, subject to applicable law, and will not automatically remove perpetual use rights granted under an existing license.
Where required, customers will be notified of material changes and asked to accept updated terms.
Exceptions
Any exceptions or modifications to this Agreement must be agreed upon in writing by an authorized Talmyric representative.
Additional product-specific terms may apply where expressly disclosed.
If applicable product-specific terms conflict with this Agreement, the expressly agreed product-specific terms will control for that product.
Governing Law and Jurisdiction
This Agreement shall be governed by and interpreted in accordance with the laws of the State of Massachusetts, United States, without regard to applicable conflict-of-law principles, except where mandatory law requires otherwise.
Subject to applicable law, disputes arising from this Agreement shall be brought before courts of competent jurisdiction in Worcester County, Massachusetts.
Before initiating formal proceedings, both parties agree to make reasonable good-faith efforts to resolve disputes through direct communication.
Nothing in this Agreement limits any mandatory consumer protection rights or remedies.
Severability
If any provision of this Agreement is found invalid, unlawful, or unenforceable, the remaining provisions will remain valid and enforceable to the fullest extent permitted by law.
Failure by Talmyric to enforce any provision does not constitute a waiver of its right to enforce that provision later.
Entire Agreement
This Agreement, together with applicable product-specific licensing terms and expressly incorporated policies, constitutes the complete agreement between You and Talmyric regarding the licensing and use of the Software.
It supersedes previous discussions or representations concerning the same subject matter, except for separate written agreements expressly preserved by the parties.
